OVERVIEW

Welcome to JAYB. JAYB Apparel LLC (“JAYB,” “we,” “us,” or “our”) operates this store and website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with a curated shopping experience (the “Services”). The Services are powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced herein (collectively, the “Terms”), describe your rights and responsibilities when you use the Services.

Please read these Terms carefully. They include important information about your legal rights, including warranty disclaimers and limitations of liability.

By visiting, interacting with, or using our Services, including making a purchase, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you should not use or access the Services.

SECTION 1 - ACCESS AND ACCOUNT

By agreeing to these Terms, you represent that you are at least the age of majority in your state of residence, or that you are the age of majority in your state of residence and have given consent for any minor dependents to use the Services on devices you own, purchase, or manage.

To use the Services, including browsing our online store or purchasing any products or services we offer, you may be asked to provide certain information, such as your email address, billing information, payment information, and shipping information. You represent and warrant that all information you provide is correct, current, and complete and that you have all rights necessary to provide that information.

You are solely responsible for maintaining the security of your account credentials and for all activity conducted through your account. You may not transfer, sell, assign, or license your account to another person.

SECTION 2 - OUR PRODUCTS

We make reasonable efforts to provide accurate descriptions and representations of our products. However, colors and appearance may vary slightly depending on your device, screen settings, lighting, production batches, materials, and other factors.

Some products, particularly pre-order or pre-production products, may be displayed using digital renderings, samples, prototypes, or other pre-production imagery. We make reasonable efforts to accurately represent the intended final product, but minor details may vary in the finished item.

Product descriptions, specifications, availability, and other product information may be updated from time to time. We reserve the right to discontinue products or limit quantities offered to any person, household, geographic region, or jurisdiction, subject to applicable law.

SECTION 3 - ORDERS, PRE-ORDERS, AND FINAL SALE POLICY

When you place an order, you are making an offer to purchase. JAYB Apparel LLC reserves the right to accept, decline, limit, or cancel an order where permitted by law, including in cases of suspected fraud, pricing or listing errors, inventory issues, payment problems, or other circumstances affecting our ability to fulfill the order.

Your order is not accepted until we confirm acceptance and successfully process payment. Please review your order carefully before submitting it. Once an order has been accepted, we may be unable to accommodate cancellation or modification requests.

Pre-Orders

Certain products may be offered for pre-order before inventory is physically available for shipment. Unless otherwise stated on the applicable product page, the current estimated lead time for pre-order items is approximately 4–6 weeks.

Pre-order lead times are estimates based on the information reasonably available to us at the time of sale and may be affected by manufacturing, freight, carrier, supply-chain, or other delays outside our control.

If we learn that we cannot ship an order within the shipping timeframe we represented, we will provide any delay notice, cancellation option, or refund required by applicable law.

If an order contains both in-stock and pre-order items, the entire order may be held and shipped together once all items are available unless otherwise stated.

Final Sale

All sales are final. JAYB Apparel LLC does not currently accept returns, exchanges, or refunds for change of mind, sizing or fit preferences, color or style preferences, or other buyer-preference reasons.

This final-sale policy is part of your purchase agreement and is also described in our Refund & Return Policy.

If you receive an item that is damaged, defective, or different from what you ordered, please contact our team promptly at jaybapparel.com@gmail.com with your order number and, when applicable, photographs of the issue. We will review the issue and determine an appropriate resolution.

Nothing in these Terms limits any refund, replacement, cancellation, warranty, or other right that cannot legally be waived under applicable law.

You represent and warrant that purchases made through the Services are for your own personal or household use and not for commercial resale or export.

SECTION 4 - PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service will be the price in effect when the order is placed and will be shown in your order confirmation.

Unless otherwise expressly stated, posted prices do not include applicable taxes or shipping and handling charges. These charges, when applicable, will be shown at checkout before you complete your purchase.

We may offer promotions that are governed by additional terms and conditions. If a promotion has terms that conflict with these Terms, the promotion-specific terms will control with respect to that promotion.

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases made through the Services and to promptly update information as needed.

You represent and warrant that: (i) payment information you provide is true, correct, and complete; (ii) you are authorized to use the payment method provided; (iii) charges incurred by you will be honored by your payment provider; and (iv) you will pay all charges incurred at the prices presented at checkout, including applicable shipping charges and taxes.

SECTION 5 - SHIPPING AND DELIVERY

JAYB Apparel LLC currently accepts and ships orders within the United States only. International ordering and shipping are not available at this time.

Shipping rates, when applicable, are calculated or displayed at checkout. Delivery and transit times are estimates only and are not guaranteed.

Once an order has been shipped, carrier delays, severe weather, service disruptions, and other circumstances outside our reasonable control may affect delivery timing. We are not responsible for delays caused solely by a shipping carrier or events outside our reasonable control, but customers may contact us if there is a problem with an order or shipment.

Customers are responsible for providing complete and accurate shipping information. If you notice an address error after placing an order, contact us as soon as possible. We cannot guarantee that an address can be changed once an order has entered fulfillment or has shipped.

SECTION 6 - INTELLECTUAL PROPERTY

Our Services, including but not limited to trademarks, brand names, text, displays, images, graphics, product reviews, video, audio, product designs, and the selection and arrangement thereof, are owned by JAYB Apparel LLC, its affiliates, or its licensors and are protected by applicable U.S. and international intellectual property laws.

These Terms permit you to use the Services for personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit material from the Services without our prior written consent except as expressly permitted by law.

Except as expressly provided in these Terms, nothing grants you any license or other rights under any patent, trademark, copyright, or other intellectual property right belonging to JAYB Apparel LLC, Shopify, or any third party. All rights not expressly granted are reserved.

The JAYB name, logos, product and service names, designs, graphics, and slogans are trademarks or other intellectual property of JAYB Apparel LLC or its affiliates or licensors and may not be used without prior written permission. Shopify's names, logos, product and service names, designs, and slogans are trademarks of Shopify. Other names, logos, and marks appearing through the Services belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS

You may be provided with access to tools offered by third parties as part of the Services that we do not monitor and over which we may have limited or no control.

You acknowledge and agree that we provide access to such tools “as is” and “as available” without warranties, representations, or conditions of any kind and without endorsement. To the fullest extent permitted by law, we are not liable for your use of optional third-party tools.

Your use of optional tools is at your own risk and discretion, and you should review and understand the terms provided by the applicable third-party provider.

We may offer new features, tools, and resources through the Services in the future. Such features will also be considered part of the Services and subject to these Terms unless otherwise stated.

SECTION 8 - THIRD-PARTY LINKS

The Services may contain materials, links, or functionality provided or operated by third parties. We are not responsible for examining or evaluating the content, accuracy, policies, or practices of third-party websites or services you choose to access.

If you leave the Services to access third-party materials or websites, you do so at your own risk. We are not responsible for harm or damages arising from your use of third-party websites or your purchase or use of third-party products, services, resources, or content.

Please review the third party's policies and terms before engaging in any transaction. Questions or complaints regarding third-party products and services should be directed to the applicable third party.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

JAYB Apparel LLC is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with JAYB Apparel LLC. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and JAYB Apparel LLC, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with JAYB Apparel LLC.

SECTION 10 - PRIVACY POLICY

Personal information collected through the Services is subject to our Privacy Policy, and certain personal information may also be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have had the opportunity to review these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services. Information submitted through the Services may be transmitted to and shared with Shopify and other service providers, including providers located outside your state or country, as described in our Privacy Policy.

SECTION 11 - FEEDBACK

If you submit, upload, post, email, or otherwise transmit ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, “Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any lawful purpose, including commercial purposes, subject to applicable law.

You represent and warrant that: (i) you own or have the rights necessary to provide the Feedback; (ii) you have disclosed any compensation or incentives received in connection with the Feedback where required; and (iii) your Feedback complies with these Terms.

We are under no obligation to maintain Feedback in confidence, pay compensation for Feedback, or respond to Feedback unless otherwise required by law or separately agreed in writing.

We may monitor, edit, or remove Feedback that we determine violates these Terms, applicable law, or the rights of others.

You agree that Feedback will not violate the rights of any third party, including copyright, trademark, privacy, publicity, or other personal or proprietary rights, and will not contain unlawful, abusive, defamatory, obscene, or malicious content or malware. You are responsible for Feedback you submit and its accuracy.

SECTION 12 - ERRORS, INACCURACIES, AND OMISSIONS

Occasionally, information on or in the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, availability, or other information.

We reserve the right to correct errors, inaccuracies, or omissions and to update information or cancel affected orders where permitted by law. If an order is canceled after payment has been collected, any payment owed back to you as a result of that cancellation will be returned in accordance with applicable law.

SECTION 13 - PROHIBITED USES

You may access and use the Services for lawful purposes only. You may not use the Services, directly or indirectly: (a) for unlawful or malicious purposes; (b) to violate applicable laws or regulations; (c) to infringe our intellectual property rights or those of others; (d) to harass, abuse, threaten, defame, intimidate, or harm another person; (e) to transmit false or misleading information; (f) to upload, download, use, or reuse material that violates these Terms; (g) to send spam, chain letters, junk mail, or similar solicitations; (h) to impersonate another person or entity; or (i) to engage in conduct that interferes with another person's use or enjoyment of the Services or that may harm JAYB Apparel LLC, Shopify, users of the Services, or others.

You also agree not to upload or transmit malicious code; reproduce, duplicate, copy, sell, resell, or exploit portions of the Services without authorization; collect or track personal information of others unlawfully; phish, pharm, pretext, or spam; interfere with security features; or bypass measures intended to protect or control access to the Services.

We reserve the right to suspend, disable, or terminate access to the Services where we reasonably determine that these Terms have been violated.

SECTION 14 - AGENTS

14.1 This section (“Agent Terms”) applies if you use, allow, enable, or cause the deployment of an automated or semi-automated software agent (“Agent”) to access, use, or interact with the Services.

14.2 No Agent may access, use, or interact with the Services in violation of these Terms, applicable law, or technical restrictions communicated or implemented by us.

14.3 We may limit, including through technical measures, whether and how Agents access, use, or interact with the Services.

14.4 Agents must identify themselves where technically required, must not fraudulently impersonate human users, must not circumvent CAPTCHAs or access controls, and must not conceal or misrepresent automated activity.

SECTION 15 - TERMINATION

We may suspend or terminate this agreement or your access to all or part of the Services in our discretion where permitted by law, including where you violate these Terms. You remain responsible for amounts properly due before termination.

Provisions that by their nature should survive termination will continue to apply, including provisions relating to intellectual property, Feedback, disclaimers, limitations of liability, indemnification, severability, assignment, governing law, and privacy.

SECTION 16 - DISCLAIMER OF WARRANTIES

The information presented on or through the Services is made available for general information purposes. We do not warrant that all information will always be accurate, complete, current, or suitable for every purpose.

EXCEPT AS EXPRESSLY STATED BY JAYB APPAREL LLC OR REQUIRED BY APPLICABLE LAW, THE SERVICES AND PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

SOME JURISDICTIONS LIMIT OR DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

SECTION 17 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JAYB APPAREL LLC AND OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, AND SHOPIFY AND ITS AFFILIATES, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT APPLICABLE LAW DOES NOT PERMIT A PARTICULAR LIMITATION OR EXCLUSION OF LIABILITY, THAT LIMITATION OR EXCLUSION WILL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

SECTION 18 - INDEMNIFICATION

You agree, to the extent permitted by law, to indemnify, defend, and hold harmless JAYB Apparel LLC, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, and reasonable legal fees arising out of: (1) your material breach of these Terms or documents incorporated by reference; (2) your violation of applicable law or the rights of a third party; or (3) your misuse of the Services.

We will provide reasonable notice of an indemnifiable claim where practicable. You agree to reasonably cooperate in the defense of any such claim.

SECTION 19 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the unenforceable portion will be deemed severed from these Terms without affecting the validity or enforceability of the remaining provisions.

SECTION 20 - WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with policies and operating rules posted by us in connection with the Services, constitute the entire agreement between you and us regarding your use of the Services and supersede prior or contemporaneous agreements, communications, and proposals relating to the Services.

SECTION 21 - ASSIGNMENT

You may not transfer or assign these Terms or your rights or obligations under them without our prior written consent, except where applicable law provides otherwise. Any prohibited attempt to assign these Terms is void.

We may transfer or assign these Terms and our rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, change in control, or other business transaction, subject to applicable law.

SECTION 22 - GOVERNING LAW

These Terms and any separate agreements through which we provide the Services will be governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except to the extent federal law applies or applicable consumer law requires otherwise.

Subject to applicable law, disputes arising out of or relating to these Terms or the Services may be brought in the state or federal courts located in Ohio.
